Nutraceutical International is to acquire the Nature's Life
business, subject to certain contingencies. The deal will give the
leading supplement manufacturer and marketer further store
penetration in key markets.

Nutraceutical International has entered into a purchase and sale agreement to acquire all of the stock of M.K. Health Food Distributors, (doing business as Nature's Life).

Closing of the deal, subject to certain contingencies, is expected to occur on or before June 30, 2003. Financial terms have not yet been revealed.

Orange County, California-based M.K. Health Food Distributors markets and distributes a line of over 400 vitamins, minerals and supplements under the Nature's Life brand through health and natural food stores, with strong regional placement in the Western United States.

Bill Gay, chairman and chief executive officer of Nutraceutical, said: "The Nature's Life brand has a reputation for marketing innovative, high-quality products and provides us with increased store penetration in key markets. We believe that the acquisition of Nature's Life will be an attractive addition and will provide many operational, distribution and marketing synergies."

Nutraceutical, one of the nation's largest nutritional supplement manufacturers, markets the Solaray, KAL, NaturalMax and VegLife brands. It also makes bulk materials for use in its own products and for sale to other manufacturers and marketers in the nutritional supplement industry under the trade names Monarch Nutritional Laboratories and Great Basin Botanicals.
