acquisition of Health Care Direct Services (HCDS), a nutraceutical
wholesale distributor.

US Nutraceutical Clinical Laboratories International, Inc. announced this week that negotiations have been completed for the acquisition of Health Care Direct Services (HCDS), a nutraceutical wholesale distributor.

HCDS is a specialty nutraceutical marketing and distribution company located in Florida. The company markets products to over 1,000 independent pharmacies and over 12,000 chain pharmacy outlets. The acquisition also includes Phillips Gulf Corporation and Direct Distribution, Inc., brand name suppliers of over 20 proprietary nutraceutical and over-the-counter products. PGC's product line includes the pain reliever lotion ARTH-Rx and BioRex 3000 Weight Loss Enhancer. DDI's products include Metabolase 436 Herbal Energy Diet, Prostol 50 Plus and the Olde South line of herbal supplements. HCDS' revenues for the past twelve months, ending November 30, 2001, were approximately $3 million (€3.33m).

Paul Simmons, Chairman and CEO of NCLII, stated, "With the introduction of these products to our recently completed production facility, we will fully utilise our nutraceutical manufacturing facility for at least one shift per day."
